Deluxe Corporation Completes $625M Acquisition of Celero Commerce
Deluxe Corporation completed its acquisition of Celero Commerce on Jul 31, 2026, under an Equity Purchase Agreement and Plan of Merger dated Jun 17, 2026. The transaction had two parts: an equity acquisition of BlockerCo from its seller and a merger in which Calypso Merger Sub LLC, a Deluxe subsidiary, merged into Celero Commerce. Celero survived as a wholly owned subsidiary of Deluxe.
The aggregate cash purchase price was approximately $625 million, plus certain seller transaction expenses and customary adjustments. Deluxe funded the closing consideration through borrowings under a Term Loan Facility and a Revolving Credit Facility. Celero Commerce offers card processing, merchant services, and integrated banking and fintech solutions embedded into business workflows, placing the deal within the embedded payments category.
