Acceptance of terms
These Terms of Use ("Terms") govern your access to and use of baas.com, operated by Staq Technologies (DIFC) Ltd. ("we," "us," or "our"). By accessing or using baas.com, you agree to be bound by these Terms. If you do not agree, you must not access or use the platform.
These Terms apply to all visitors, registered users, and any other persons who access baas.com. We may update these Terms from time to time, and your continued use of the platform following any changes constitutes acceptance of the revised Terms.
These Terms should be read in conjunction with our Privacy Policy and Legal Disclaimers, which are incorporated herein by reference.
Eligibility
baas.com is a professional industry platform intended for use by individuals who are at least 18 years of age and who are acting in a professional or business capacity. By using baas.com, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into a binding agreement
- You are accessing baas.com for professional or business purposes related to the Banking-as-a-Service or embedded finance ecosystem
- Your use of baas.com complies with all applicable laws and regulations in your jurisdiction
Account registration
Certain features of baas.com require registration with a valid work email address. When you register, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and current
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activity that occurs under your account
- Notify us immediately at legal@baas.com if you suspect unauthorised access to your account
We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.
Permitted use
You may use baas.com for lawful purposes consistent with the platform's intended function as a BaaS industry intelligence resource. Permitted uses include:
- Browsing the Bank Registry and Verified Profiles directory
- Reading Regulatory Tracker summaries and Deal Feed entries
- Subscribing to regulatory alerts and deal digests
- Creating profiles through the Connect service
- Accessing and managing your own profile and account settings
All content accessed through baas.com is provided for your personal or internal business use only. Redistribution, republication, or commercial exploitation of platform content without our prior written consent is prohibited.
Prohibited conduct
When using baas.com, you must not:
- Provide false, misleading, or fraudulent information in your account registration, profile, or Connect profile
- Impersonate any person or entity, or misrepresent your affiliation with any organisation
- Use the platform to send unsolicited communications, spam, or promotional material to other users
- Scrape, crawl, or use automated means to extract data from baas.com without our written consent
- Attempt to gain unauthorised access to any part of the platform, other users' accounts, or our systems
- Interfere with or disrupt the platform's infrastructure, security features, or other users' access
- Use information obtained through the Connect service for purposes other than evaluating a potential partnership
- Reproduce, redistribute, sell, or commercially exploit platform content without prior written consent
- Use the platform for any purpose that violates applicable laws or regulations
Violation of these prohibitions may result in immediate suspension or termination of your account, without prior notice.
Intellectual property
All original content on baas.com — including editorial summaries, analysis, platform design, logos, trademarks, the baas.com Certification framework, and the baas.com brand — is the intellectual property of Staq Technologies (DIFC) Ltd. and is protected by applicable copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use baas.com for your personal or internal business purposes, subject to these Terms. This licence does not include:
- The right to reproduce, distribute, or publicly display any content from baas.com
- The right to create derivative works based on platform content
- The right to use the baas.com name, logo, or branding without written consent
- The right to frame or embed baas.com content within another website
Entity names, logos, and trademarks displayed in registry listings and profiles are the property of their respective owners and are used for identification purposes only.
Connect service terms
The baas.com Connect service facilitates introductions between banks, fintechs, BaaS providers, and investors. By creating a Connect profile, you agree to the following additional terms:
baas.com acts solely as an introduction service. We are not a broker, dealer, intermediary, agent, or adviser in connection with any transaction or partnership.
- Information in your Connect profile must be accurate and submitted in good faith
- Your contact details will not be shared with any counterparty until both parties have expressed mutual interest
- You are solely responsible for conducting due diligence on any counterparty introduced through the service
- Any agreements or transactions entered into with a matched counterparty are entirely between you and that counterparty
- baas.com accepts no responsibility for the outcome of any introduction, including losses, disputes, or regulatory consequences
We reserve the right to decline or withdraw any Connect profile at our discretion, including where we believe the profile contains false information or is submitted for purposes inconsistent with the Connect service.
Disclaimers
baas.com is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the platform will be uninterrupted, timely, secure, or error-free
- Warranties that the information, content, or materials on the platform are accurate, complete, or reliable
- Warranties that defects will be corrected
Nothing on baas.com constitutes financial advice, legal advice, regulatory advice, compliance advice, or investment advice. Please refer to our Legal Disclaimers for detailed information.
Limitation of liability
To the fullest extent permitted by applicable law, baas.com and Staq Technologies (DIFC) Ltd., including their officers, directors, employees, agents, and affiliates, shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of baas.com.
This limitation applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether we have been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of liability for certain types of damages, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless baas.com, Staq Technologies (DIFC) Ltd., and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of baas.com
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any information you submit through the platform, including Connect profiles and profile information
- Any dispute between you and a counterparty introduced through the Connect service
Termination
We reserve the right to suspend or terminate your access to baas.com at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to:
- Violation of these Terms or any applicable laws
- Provision of false or misleading information
- Conduct that is harmful to other users, the platform, or Staq Technologies (DIFC) Ltd.'s interests
- Prolonged inactivity (accounts inactive for more than 24 months may be deactivated)
You may terminate your account at any time by contacting us at legal@baas.com. Upon termination, your right to access and use baas.com ceases immediately.
Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall survive any termination or expiration of these Terms.
Governing law and dispute resolution
These Terms and your use of baas.com are governed by and construed in accordance with the laws of the jurisdiction in which Staq Technologies (DIFC) Ltd. is incorporated, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms or your use of baas.com shall be subject to the exclusive jurisdiction of the courts of that jurisdiction. You agree to submit to the personal jurisdiction of such courts.
If you access baas.com from a jurisdiction where its content or services are restricted or regulated, you do so on your own initiative and are responsible for compliance with applicable local laws.
