Green Dot Shareholders Approve CommerceOne Acquisition and Bank Holding Company Formation
Green Dot Corporation and CommerceOne Financial Corporation announced on Jun 23, 2026, that shareholders of both companies voted to approve the previously announced transaction involving Green Dot, CommerceOne, and Smith Ventures, LLC. More than 99% of Green Dot shares voted at its special meeting were cast in favor, representing about 72% of outstanding common stock as of the May 15, 2026, record date. CommerceOne saw 100% of shares voted cast in favor, representing about 69% of its outstanding common stock as of the same record date.
Green Dot CEO William I. Jacobs said the vote brings the companies closer to completing a deal designed to unlock shareholder value and position both the bank and fintech businesses for long-term growth. CommerceOne CEO Kenneth Till described the combination of Green Dot Bank with CommerceOne as creating a well-capitalized, growth-oriented banking entity.
The transaction remains subject to further closing conditions.
